Commercial Contracts Business Partner

Location: Dallas, Texas
Department: Legal & Contracts
Full-time | Permanent

As our consultancy business continues to grow across the US and international markets, the agreements we negotiate are becoming increasingly complex.

We’re looking for an experienced Commercial Contracts Business Partner to join our Legal & Contracts team and take ownership of complex commercial contract negotiations across our consultancy business.

This is not a lawyer, attorney or paralegal position. We are specifically looking for someone with hands-on experience managing and negotiating contracts from a commercial and operational perspective.

You’ll understand how contractual terms impact a business in practice, from financial exposure and service delivery to insurance, payment terms and operational responsibilities. You’ll be comfortable challenging terms, negotiating directly with clients and providers, and finding solutions that protect the business while still allowing deals to move forward.

This is an individual contributor role with plenty of autonomy and the opportunity to become a key commercial partner to our Sales and wider business teams.

What You’ll Be Doing

  • Lead negotiations on complex client agreements, particularly with larger enterprise clients or where proposed terms create significant commercial or operational risk
  • Review and negotiate Statements of Work (SOWs), ensuring delivery responsibilities, service obligations, acceptance criteria, liabilities and financial commitments are clearly understood
  • Identify and challenge contractual risks relating to liability, indemnification, insurance, payment terms, data, information security, audit rights and ongoing monitoring
  • Partner closely with Sales throughout negotiations, balancing commercial objectives with appropriate protection for the business
  • Review the practical and financial implications of contractual requirements before agreements are signed
  • Work with insurance brokers to ensure proposed services and contractual obligations are appropriately covered
  • Negotiate commercial agreements with EOR, payroll and other third-party providers
  • Ensure appropriate protections are in place around provider liabilities, insurance, audit rights and service requirements
  • Review payment terms, billing requirements, additional costs, deductions, termination provisions and other areas of potential financial exposure
  • Work cross-functionally with Finance, Billing, IT Security, GRC and other internal teams where contracts contain requirements impacting their areas
  • Support commercial disputes involving client and provider agreements, including payment, additional costs and service obligations
  • Identify client-specific requirements that need to flow down into contractor or provider agreements
  • Help strengthen our commercial contracting processes as the consultancy business continues to scale internationally

What We’re Looking For

We’re looking for someone who understands commercial contracts from a business perspective, not just a legal one.

You’ll ideally bring:

  • Strong hands-on experience managing and negotiating B2B commercial contracts
  • Experience independently negotiating agreements with clients, suppliers or service providers
  • Strong experience reviewing and negotiating Statements of Work and service-based agreements
  • A solid understanding of commercial risk, including limitation of liability, indemnification, insurance requirements, payment terms and financial exposure
  • The confidence to push back on unreasonable or disproportionate contractual terms
  • Experience negotiating with larger or enterprise-level clients
  • The ability to understand the commercial and operational consequences of contractual commitments
  • Experience partnering with Sales and other commercial teams during negotiations
  • Strong stakeholder management skills, with the ability to work across Finance, Operations, Security, Risk and Compliance
  • A commercial mindset with the ability to find practical solutions rather than simply identifying contractual issues
  • Experience within consulting, professional services, staffing, recruitment or another service-led business would be particularly valuable
  • Experience with EOR, payroll, contingent workforce or contractor arrangements would be advantageous
  • Experience supporting contracts across multiple jurisdictions would also be beneficial

You don’t need to be an attorney to do this role. In fact, we are not seeking a lawyer, attorney or paralegal. The key thing for us is proven experience owning commercial contract negotiations and understanding how agreements work operationally once they’ve been signed.

Why Join Us?

This is a newly created role with the opportunity to make a genuine impact on how we manage commercial contracts and risk as our consultancy offering continues to grow.

You’ll have the autonomy to lead complex negotiations, partner closely with our commercial teams and help ensure the agreements we enter into are commercially sound, operationally achievable and appropriately protected.

If you’re an experienced commercial contracts professional who enjoys negotiating, challenging terms and finding practical solutions that enable business growth, we’d love to hear from you.
